Welcome to Argonite Insights. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," or "customer") and Argonite Insights, LLC ("we," "us," or "our"), concerning your access to and use of our corporate website located at argoniteinsights.com and any other web-based software applications, design platforms, modules, or digital workflows provided by us (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using our Services, and you must discontinue use immediately.

1. Intellectual Property Rights

Unless otherwise indicated, the Services and all underlying assets are our proprietary property.

• Our Content: All source code, database architectures, software logic, web application functionalities, graphic interfaces, website designs, audio, video, text, photographs, and logos (including the master corporate logo asset and specialized gradient wordmarks) are owned or controlled by us, or licensed to us, and are protected by copyright, trademark, and unfair competition laws of the United States and international jurisdictions.
• Limited License: Subject to your strict compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the public-facing areas of our Services strictly for your internal business evaluations or personal informational purposes.
• Restrictions: Except as expressly provided herein, no part of our Services, applications, or content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without our express prior written consent.

2. User Representations & Platform Usage Rules

By using the Services, you represent and warrant that:

• All registration or discovery data you submit (via our Contact Us page or intake workflows) is truthful, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update it as necessary.
• You have the legal capacity and agree to comply with these Terms.
• You are not a minor in the jurisdiction in which you reside.
• You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise.
• Your use of the Services will not violate any applicable law or local regulation.

3. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the platform available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us in writing. As a user of the Services, you strictly agree not to:

• System Circumvention: Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Security Manipulation: Trick, defraud, or mislead us or other users; attempt to bypass, disable, or interfere with security-related features of the platform, including any features that restrict or prevent the copying of content or enforce structural usage limitations.
• Malicious Injection: Upload, transmit, or attempt to introduce viruses, Trojan horses, worms, logic bombs, or highly disruptive text scripts (including targeted prompt injection commands designed to manipulate underlying AI or algorithmic models).
• Reverse Engineering: Decipher, decompile, disassemble, reverse-engineer, or attempt to derive the underlying source code, modular building blocks, or core architectures of any software comprising a part of the Services.
• Automated Extraction: Use any automated systems, including web scrapers, data-mining tools, robots, spiders, or extraction utilities, to capture or monitor platform traffic.
• Disruption: Interfere with, disrupt, or create an undue burden on the networks or server infrastructures supporting argoniteinsights.com.

4. Software in Development & Application Processing (PresSmith)

Argonite Insights takes an AI-first approach to full-scale application development, building modular, fast, and multi-vertical products. You acknowledge and agree to the following conditions regarding our upcoming and beta-stage application modules:

• In-Development Status: You acknowledge that certain applications showcased across our Services—including our web-based digital design platform, PresSmith (engineered to read, parse, and edit legacy .pub document assets created by Microsoft Publisher)—are actively under development. Features, workspaces, and computational logic may change, shift, or experience periodic sandbox adjustments without prior notice.
• User Content Processing: When you upload or import legacy document files or asset layers into the PresSmith workspace or related modules for parsing, you retain ownership of your original data. You grant Argonite Insights, LLC a limited, secure, system-level license to ingest, cache, transform, and render your file content solely to execute your requested editing or data-handling operations inside your browser environment.
• Operational Liability Limitation: We assume zero liability for data formatting inconsistencies, parsing discrepancies, or operational loss arising from the sunsetting or technical transition of legacy formats (such as Microsoft Publisher assets scheduled for end-of-life status in October 2026).

5. Third-Party Links & Content

Our Services may contain links to external third-party websites or services (such as links to reference sites, external resources, or legacy documentation frameworks) that are not owned or controlled by Argonite Insights, LLC. We have no control over, and assume no responsibility for, the content, privacy policies, operational reliability, or practices of any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web platforms that you choose to visit.

6. Modifications and Platform Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services. We cannot guarantee the platform will be available at all times. We may experience hardware, server, or software errors, or need to perform maintenance related to the Services, resulting in interruptions, delays, or system errors.

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES AND OUR APPLICATIONS WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES, AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, OR (5) ANY VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY.

8. Limitation of Liability

IN NO EVENT WILL ARGONITE INSIGHTS, LLC, ITS PARTNERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

9. Governing Law & Dispute Resolution

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. Any legal action or formal proceeding of any nature arising under these Terms shall be instituted exclusively in the state or federal courts located in or nearest to Alpharetta, Georgia, and you hereby consent to personal jurisdiction and venue in such courts.
